Overview
We are seeking a strategic and action-oriented Vice President, General Counsel. The incumbent will serve as a key business partner and leader to the Executive Offices and be immersed in both strategic and tactical elements for our Corporate Affairs. As General Counsel he/she will be responsible to provide Bozzuto’s and its family of companies with counsel, general legal guidance, and support on all legal and regulatory matters including intellectual property management & protection and other business decisions which impact the organization. This position reports to the CEO, President, Chairman of the Board.
Responsibilities
· Significant leadership responsibilities in all Merger & Acquisition activity
· Partner with Sales organization on development of Supply Agreements
· Selection & management of outside counsel and third-party vendor management programs with the aim of maximizing value, improving predictability, managing expense & budgets
· Oversee contract commitments to include protocol, process, and approvals
· Partner with Executive Offices and other Leadership Team members to develop and execute strategies, lead activities and project teams to advance department legal priorities
· Centralization of key legal templates, policies, processes, and other information
· Serve as a key member to the Finance Committee
· Perform all duties related to ESOP Administrator and other retirement offerings
· Ensure Labor & Employment compliance programs are in place and measured for effectiveness
· Steward of all pending litigation matters
· Engage and maintain positive relationships with key leaders in the communities where we operate
· Act as primary liaison with regulatory bodies and manage regulatory filings and reports
· Undertake other duties as assigned by the CEO or board of directors
Qualifications
The successful candidate will be highly skilled in understanding how to get things done through influence and collaboration, working with cross-functional team members. You will have the highest levels of integrity and trustworthiness. You must be able to participate in decision-making and information management with an exceedingly elevated level of discretion and confidentiality. In addition, you will have a proven record of:
· Experience as a senior leader in the development and implementation of strategic initiatives that have led to significant changes in how a business operates
· Outstanding operational management skills, including experience with internal consulting, project management, and communications
· Experience in Warrant Structures, Capital Asset Pricing Modeling, IRR
· P/E transactions up to ~15ml
· Outstanding written and verbal communication skills
· Successful partnership with senior level stakeholders to achieve results
· Experience with law firm billing practices, alternative fee arrangements, and cost modeling, and law firm/vendor fee negotiations
· 5 – 10 years’ experience as an Associate or Deputy Counsel within Distribution / Logistics preferred
· Preferred - MBA / JD
